Corporate Email Registration Deadline for Costa Rican Companies

Costa Rica’s new Law No. 10597 marks a major shift toward the digitalization of corporate legal procedures. One of the most significant changes is the elimination of the resident agent requirement. In its place, all corporations must now complete a corporate email registration, which becomes the sole official and legally binding channel for receiving judicial and administrative notifications.

If your company was incorporated before June 2025, the deadline to comply is approaching quickly: June 4, 2026.

What Changed Under Law No. 10597?

The reform to Article 18 of the Costa Rican Commercial Code now requires all corporations to register a valid electronic address within their corporate records. Since the resident agent figure has been abolished, companies are now directly responsible for receiving and monitoring official legal communications.

This means that any notification sent to the registered corporate email address will be considered legally delivered, whether or not the message is actually reviewed.

Failure to register or monitor the company’s email account may expose the business to serious legal risks, including judicial proceedings moving forward without the company’s knowledge.

Although the National Registry does not charge government filing fees for this registration, the process is not a simple online submission.

For corporations already incorporated, the update requires a formal corporate amendment handled through a Costa Rican notary public.

The Process Generally Includes:

  1. Corporate Amendment:
    A formal amendment to the company’s articles of incorporation must be drafted before a notary public.
  2. Filing Before the National Registry:
    The notarized document must be submitted for review and registration.
  3. Official Gazette Publication:
    A legal notice must be published in Costa Rica’s official gazette, La Gaceta.
